Brandrisor Terms of Service
1. About these terms
1.1 Who we are. Brandrisor ("Brandrisor", "we", "us") is operated by Brandrisor, a corporation incorporated under the laws of Quebec, Canada, with its office at [ADDRESS]. You can reach us at hello@brandrisor.com.
1.2 What Brandrisor does. We connect brands that want honest feedback on their products ("Brands") with consumers who want to try those products at a reduced or zero net cost ("Shoppers"). We announce deals, review Shopper applications, and deliver rewards. We are not the seller of any product and we are not a party to your purchase from a retailer.
1.3 Agreement. By creating an account, signing up for deal alerts, opting in to a deal, or running a campaign, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use Brandrisor.
1.4 Which parts apply to you. Section 1 and the General Terms apply to everyone. Part A applies to Shoppers. Part B applies to Brands. If you use Brandrisor as both, both parts apply.
1.5 Eligibility. You must be at least 18 years old and live in Canada or the United States to join as a Shopper. Brands must be legally able to enter contracts and must act through someone authorized to bind the business.
1.6 Your account. You agree to give accurate information and keep it current. One account per person; one account per Brand unless we agree otherwise. You are responsible for activity under your account and for keeping your login secure. Tell us right away at hello@brandrisor.com if you think your account has been compromised.
1.7 Language. These Terms are available in French and English. The parties have expressly required that these Terms and related documents be drawn up in [French and] English. Les parties ont expressément exigé que la présente convention et tous les documents s'y rattachant soient rédigés en [français et en] anglais.
Part A. Shopper Terms
A1. Deal alerts. Signing up is free and adds you to our deal-alert emails. Each email describes a deal: the product, the retailer (for example Amazon or Walmart), the retail price, the reward, and how many spots are available. You are never obligated to participate.
A2. Opting in and approval. Clicking "I'm Interested" is a request to join a deal, not a guarantee. We review requests based on factors such as availability, past participation, location, and account standing, and we may decline any request without giving a reason. If approved, you will receive an approval email with instructions. Approval is personal to you and cannot be transferred.
A3. Purchasing. You buy the product yourself, on the retailer and listing named in your approval email, within the time window stated. You pay the retailer directly and your purchase is governed by that retailer's terms, including its return, warranty and shipping policies. Brandrisor does not handle orders, shipping, defects or returns. If you buy the wrong product, from the wrong seller, or outside the window, you may not qualify for a reward.
A4. Your honest review. After you receive and use the product, you may be asked to leave a review on the retailer's site where you bought it. Your review must:
- reflect your genuine, first-hand experience, whether positive, negative or mixed;
- be written by you, not copied, generated wholesale by AI, or written for you by anyone else;
- follow the retailer's community and review rules; and
- include any disclosure that the law or the retailer requires about receiving a reward.
Photos and videos are encouraged but never required.
A5. No rating requirements. Your reward never depends on your star rating or on what your review says. Neither Brandrisor nor any Brand will ask you to change, remove, or improve a review, and you should report it to us if anyone does. A negative honest review earns the same reward as a positive one.
A6. Proof and validation. To claim your reward, submit proof of purchase (order confirmation showing the product, date and price paid) and a link or screenshot of your published review, within [30] days of delivery. We check submissions for completeness and authenticity. We may ask for more information. Removing your review shortly after receiving a reward, or editing proof, is grounds to reverse the reward and close your account.
A7. Rewards. Once validated, we send a credit by email, within 10 business days, which you can redeem for a digital gift card from 60+ partner retailers through our gift card provider, Tango Card, a Blackhawk Network company. The reward amount is stated in your approval email and may cover all or part of what you paid, before or including tax and shipping as stated in the deal. Rewards have no cash value except where required by law, cannot be transferred or resold, and are subject to the gift card provider's terms. Standard reward links do not expire, though promotional links may carry an expiry date, which will be stated in your reward email. Once you exchange your reward for a specific retailer's gift card, that retailer's terms apply, including any expiry. Prepaid Visa or Mastercard cards typically expire within a few months.
A8. Bonus content. Some deals offer an extra reward for content such as photos or videos. The deal will state what is required and how the content may be used (see the content licence in General Terms G2).
A9. Taxes. You are responsible for any taxes that apply to rewards you receive.
A10. What you must not do.
- Create more than one account, or join under someone else's name or address.
- Submit false, altered, or borrowed proof of purchase or reviews.
- Return or cancel the product after claiming a reward, unless the deal says otherwise.
- Sell, trade, or offer reviews to anyone, or participate in review-trading groups.
- Use bots, scripts, or VPNs to claim deals.
- Harass Brands, retailers, or our team.
If you break these rules, we may cancel pending rewards, recover rewards already paid, and close your account.
Part B. Brand Terms
B1. Campaigns. A Brand creates a campaign by giving us the product listing, retailer, number of units, reward amount, dates, and any optional content requests. We may accept, edit for clarity, or decline any campaign. A campaign starts once we confirm it in writing and the applicable fees are paid.
B2. What we deliver. We promote your deal to our Shopper list, screen opt-ins, send approved Shoppers purchase instructions, validate proof, and pay rewards. We do not guarantee any number of sales, reviews, review ratings, rankings, or sales outcomes. Shoppers decide independently whether and what to review.
B3. Fees and payment. Campaign pricing is based on reward volume and is set out in your campaign order. Our prices may change, but the price of a confirmed order will not. Payment in full, including reward funding and applicable taxes, is due before the campaign starts and is processed by Stripe. Because Shoppers are free to review honestly, we make no guarantee of any outcome, and payments are non-refundable once a campaign has been launched, except for unclaimed rewards as described below. If we cancel a campaign before launch, or are unable to run it, we will refund the amount paid for the portion not run. If fewer than all funded rewards have been claimed 90 days after the campaign launch date, you may choose either a refund or a credit toward a future campaign for the unclaimed rewards. The refund or credit covers the reward funding and admin fees for those rewards, pro-rated to the number unclaimed.
B4. Your obligations. You confirm that:
- you own or are authorized to sell the product, and it is safe, lawful, accurately described, and not counterfeit or recalled;
- the listing price stated to us is the genuine current price;
- you will keep the product in stock and the listing live for the campaign;
- you will comply with all laws and the rules of the retailer where the product is sold; and
- you are responsible for the product itself, including defects, warranties, recalls and customer service.
B5. Review integrity. You must not, directly or through us:
- ask Shoppers for positive reviews or a minimum star rating;
- condition any payment, reward or future deal on review sentiment;
- contact Shoppers outside Brandrisor to influence, edit or remove a review;
- ask Shoppers to post on a listing they did not buy from, or to review a competitor; or
- write, purchase, or submit reviews yourself.
We do not edit, filter, or suppress reviews, and we will not withhold a reward because a review is negative.
B6. Platform risk. Retailers such as Amazon and Walmart set and enforce their own review policies, which may restrict incentivized reviews. You are solely responsible for deciding whether running a campaign is consistent with your seller agreements. Brandrisor is not liable for any review removal, listing action, or account suspension a retailer takes.
B7. Shopper data. We share with you only what you need to run your campaign, typically aggregate results and links to published reviews. You will not receive Shopper contact details unless the Shopper agrees. Any Shopper personal information you receive must be used only for that campaign, kept secure, and deleted when no longer needed.
B8. Your materials. You grant us a non-exclusive, royalty-free licence to use your brand name, logo, product images and descriptions to promote your campaign to Shoppers, and to list your brand as a client on our website unless you tell us not to.
B9. Indemnity. You will defend and indemnify Brandrisor against claims arising from your product (including injury or property damage), your listing, your breach of these Terms, or your violation of a retailer's rules or any law.
General Terms
G1. Our content. The Brandrisor name, logo, website, emails and software belong to us or our licensors. You may use them only to participate in Brandrisor as these Terms allow.
G2. Content you submit. You keep ownership of reviews, photos, videos and other content you submit to us. You grant Brandrisor a worldwide, non-exclusive, royalty-free licence to store and process it to run the service and validate rewards. For bonus-content deals only, you also grant the Brand and Brandrisor a licence to reuse that specific content in marketing, as described in the deal, with credit by first name and city unless you ask otherwise. You confirm you have the rights to everything you submit and that any person shown in it has agreed.
G3. Third-party platforms. Retailers, payment processors and gift card providers are independent third parties with their own terms. We are not responsible for their services, outages, policy changes, or decisions about your account or reviews.
G4. Disclaimers. Brandrisor is provided "as is" and "as available". We do not guarantee that deals will be available, that you will be approved, or that the service will be uninterrupted. Products are made and sold by others; we make no warranty about them.
G5. Limitation of liability. To the extent the law allows, Brandrisor is not liable for indirect, incidental or consequential losses, lost profits, or loss of data. Our total liability to a Shopper for any claim is limited to the unpaid reward at issue; to a Brand, to the fees paid in the 3 months before the claim. Nothing in these Terms limits liability that cannot be limited by law, including rights consumers have under the Quebec Consumer Protection Act or other consumer protection laws.
G6. Suspension and termination. You can close your account at any time by emailing hello@brandrisor.com. We may suspend or close an account, cancel pending rewards, or end a campaign if we reasonably believe these Terms were broken, fraud occurred, or a retailer or the law requires it. Validated rewards owed to a Shopper in good standing will still be paid.
G7. Changes. We may update these Terms. We will post the new version with its effective date and, for material changes, notify you by email at least 30 days in advance. If you do not agree, you may close your account before the changes take effect; continuing to use Brandrisor after that means you accept them.
G8. Governing law and disputes. These Terms are governed by the laws of Quebec and the federal laws of Canada that apply there. Disputes will be heard by the courts of the judicial district of Montreal, except that consumers may bring claims in the courts of their own place of residence where the law gives them that right. Before filing a claim, please contact us so we can try to resolve it informally within 30 days.
G9. General. If any part of these Terms is found unenforceable, the rest stays in effect. Our failure to enforce a term is not a waiver. You may not transfer your account or these Terms; we may transfer them as part of a reorganization or sale of the business.
G10. Contact. Brandrisor, [ADDRESS], hello@brandrisor.com.
